Who should I contact for inquiries about my shareholdings in Universal Robina Corporation (URC)?
You may contact the Company’s stock transfer agent, BDO Stock Transfer (“BDO”) for matters regarding your shareholdings covered by stock certificate/s. BDO keeps the ledger and records of accounts of all certificated URC shareholders. They are also the ones handling share transfers and dividend payments.

What steps should I take to update my name after a change due to marriage?
To update your name from maiden name to married name, please follow the following steps:
- Visit BDO’s office (see address above) to update your specimen signature card
- Present a government-issued valid ID stating the married name
- Accomplish the Stockholder’s Request Form
- Submit the following documents:
- Original stock certificate/s for cancellation
- Request letter to change name from maiden to married name
- Original PSA Marriage Contract
- Proof of payment of transfer charges
BDO may ask for additional documents (i.e., birth certificate, joint affidavit of two disinterested persons) should there be discrepancies between the name on the stock certificate and the valid IDs presented.
Is it required to update my name in the shareholder’s record after marriage?
Although encouraged, the shareholder may opt to retain her maiden name, provided she keeps a valid ID under her single name.
What should I do to reflect my new name following a court order (e.g., annulment, legitimization, or other legal name changes)?
To update your name following a court order, please follow the following steps:
- Visit BDO’s office (see address above) to update your specimen signature card
- Present a government-issued valid ID stating the new name
- Accomplish the Stockholder’s Request Form
- Original of relevant documents (e.g. Court Decision, PSA Marriage Contract, PSA Birth Certificate)
- Submit the following documents:
- Original stock certificate/s for cancellation
- Request letter to change name
- Photocopy of one (1) government-issued valid ID
- Proof of payment of transfer charges (example: PHP20.00 for cancellation of stock certificate and PHP100.00 for issuance of new stock certificate. These rates are subject to change without prior notice). Payment may be made over-the-counter with any BDO branch
How can I update my address in my record?
To update your nominated home address, please follow the following steps:
- Visit BDO’s office (see address above) to update your specimen signature card
- Present a government-issued valid ID
- Accomplish the Stockholder’s Request Form
- Submit proof of ownership of the share/s (e.g. stock certificate, cash dividend check, notices from issuer)
ACCOUNT INFORMATION INQUIRY
How can I check the number of shares I own?
To check the number of shares you own, you may request for a Stockholder’s Ledger, by submitting a Letter to request for a Stockholder’s Ledger to BDO via e-mail.
If you have no signature card on file:
- Visit BDO’s office (see address above) to update your specimen signature card
- Present a government-issued valid ID
- Copy of proof of ownership (e.g. Stock certificate, Cash dividend check, Notices from Issuer)
Can I inquire about the shareholdings of others, such as my spouse, relative, or friends?
Yes, with proper authorization.
To check the number of shares owned by another stockholder, you may request for a Stockholders’ Ledger. Kindly submit the following requirements to BDO:
- Special Power of Attorney (SPA) signed by the stockholder
Note: If the stockholder’s signature on the SPA cannot be verified by BDO (due to factors such as change in signature, signed with tremor or no signature card on file), a Bank Certificate issued by the stockholder’s bank will also be required to verify the signature of the stockholder in the SPA. A photocopy of the ID of the bank employee who signed and issued the Bank Certificate will also be required as an attachment. - Request Letter signed by the Attorney-In-Fact
- Valid Government-issued ID of the Attorney-In-Fact
- Copy of proof of ownership of the shareholder (e.g. Stock certificate, Cash dividend check, Notices from Issuer)
How do I request a certification of my outstanding shares?
To request for a Certification of Shareholdings, submit signed Request Letter via e-mail to initiate the process. (NB: Original of the Request Letter with wet signature will be required before BDO can release the Certification).
If there is no specimen card on file, please visit BDOs office (see address above) and submit the following:
- Valid government-issued valid ID
- Copy of proof of ownership of the shareholder (e.g. Stock certificate, Cash dividend check, Notices from Issuer)
- Proof of payment of Certification Fee in the amount of PHP200.00
DIVIDEND PAYMENTS INQUIRY
What dividends have been declared by Universal Robina Corporation (URC), and when were these payments made?
URC has declared cash and stock dividends in the past. As for when the payments were made, you may send an inquiry with BDO via e-mail. You may also view the dividend declarations of URC in the past two years from the Philippine Stock Exchange (PSE) disclosure website: https://edge.pse.com.ph/companyDisclosures/form.do?cmpy_id=124
I have not received any dividend payments or related correspondences in a while. What could be the reason?
For inquiries regarding your dividends (if any), you may contact BDO.
How can I inquire about the status of my dividend payments?
To check the status of your cash dividend check, you may send BDO an inquiry via email.
Can I have my dividends directly credited to my bank account?
At this time, this facility is not yet operational. URC releases cash dividends to shareholders via check issuance delivered to the shareholder’s nominated home address.
I lost my dividend check. Can it be replaced, and what steps should I take?
Yes, you may request for check reissuance. Please follow the following steps:
- If you have no specimen card, you will be requested to visit BDO’s office (see address above) to generate your specimen card
- Present a valid government-issued ID
- Accomplish the Stockholder’s Request Form
- Proof of ownership (e.g. Stock certificate, Cash dividend check, Notices from URC)
- Notarized Affidavit of Loss
Note: A Stop Payment Order (SPO) may be needed in case of lost check
I have a stale-dated dividend check. How can I have it replaced?
To request for check replacement, please follow these steps:.
- If you have no specimen card, you will be requested to visit BDO’s office (see address above) to generate your specimen card
- Present a valid government-issued ID
- Accomplish the Stockholder’s Request Form
- Bring the stale-dated check
Once all the requirements have been completed, the request will be forwarded to URC for the issuance of a replacement check. The stockholder may choose to either personally pick up the replacement check or have it picked up by an authorized representative
Requirements for Claiming/Picking Up the Replacement Check If the stockholder will personally pick up the check: Any valid government-issued ID with signature. If a representative will pick up the check on behalf of the stockholder:
- An authorization letter signed by the stockholder, designating the representative.
- A copy of the stockholder’s valid ID with signature.
- A copy of the representative’s valid ID with signature.
STOCK CERTIFICATE INQUIRIES
My name was printed incorrectly on my stock certificate(s). How can I have this corrected?
To correct the name indicated on your stock certificate, please see steps below:
- If you have no specimen card, you will be requested to visit BDO’s office (see address above) to generate your specimen card
- Present a valid government-issued ID indicating the correct name
- Accomplish the Stockholder’s Request Form
- Submit the following documents:
- Original stock certificate/s for cancellation
- Request letter to update your name, indicating the name involved
- Original copy of PSA Birth Certificate
- Photocopy of one (1) government-issued valid ID
- Proof of payment of transfer charges
I lost my stock certificate(s). What is the process to replace them?
URC shareholders may request for replacement of lost stock certificates through BDO, who would require the submission of the following documents:
- Affidavit of Loss with undertaking, executed by registered owner, specifying the name of the issuer of stocks (i.e., URC), name of registered owner, number of shares, certificate numbers and circumstances of the loss.
- Affidavit of Publication executed by the publisher of a newspaper of general circulation in the principal office of URC (i.e., Quezon City) stating that a Notice of Loss had been published once a week for three consecutive weeks indicating the issuer’s name (i.e., URC), registered owner, number of shares and certificate numbers. The notice should also state that if no contest has been presented after one year from last date of publication, URC shall issue a new certificate.
- [Option if stockholder preferred that the new Stock Certificates be released immediately] Surety bond to be posted in favor of BDO Unibank, Inc. in an amount twice the market value of the total shares lost. Otherwise, issuance of stock certificates will be made one (1) year after the last date of publication.

TRANSFER OF SHARES
What process should I follow to transfer shares from a deceased shareholder’s account?
To transfers the shares from a deceased stockholder to their lawful heirs, please submit the following requirements to BDO:
- Stockholder’s Request Form – one for each heir
- Original stock certificate/s (for cancellation);
- Original PSA Death Certificate of the stockholder;
- Original PSA Marriage Contract of the deceased stockholder;
- Proof of relationship of the heirs to the deceased stockholder:
- Original PSA Birth Certificate;
- Original PSA Marriage Contract, for female married heir(s);
- PSA Death Certificate, if the heir’s spouse is deceased
- Photocopies of two (2) government-issued IDs for each heir;
- Annotated or received copy of the Extra-Judicial Settlement or Self-Adjudication by the Registry of Deeds. In cases of Judicial Settlement, Certified True Copy of Court Order and Entry of Final Judgement.
- Original copy of the Certificate Authorizing Registration (CAR) indicating that the Estate tax and other applicable taxes had been paid.
- Affidavit of Publication executed by the publisher of a newspaper of general circulation in the principal office of URC (i.e., Quezon City) stating that a Notice of Extrajudicial Settlement or Affidavit of Adjudication had been published once a week for three consecutive weeks indicating the issuer’s name (i.e., URC), registered owner, number of shares and certificate numbers. The notice should also state that if no contest has been presented after one year from last date of publication, URC shall issue a new certificate;
- Heir’s Bond. Two-year heirs bond to be posted in favor of the heirs/creditors who may have been unlawfully deprived of their shares/claim against the estate in the amount equivalent to the market value of the shares for transfer. Please note that the bond should be based on the closing price of the stock at the time of death of the stockholder multiplied by the total number of shares for transfer and the obligee is BDO Unibank, Inc.
- If the original stock certificate/s were lost:
- Affidavit of Loss,
- Affidavit of Publication for the Affidavit of Loss (This is a separate requirement from item 12 above, however both publications may be done simultaneously).
- Personal Appearance of the heir/s to sign the specimen signature card
- Payment of Transfer Fee
- Original copies of Special Power of Attorney, if applicable.

Can I transfer shares to a minor?
For direct transfers to a minor, it must be made via In Trust For account (e.g. Name of Guardian ITF / FAO Name of Minor). Please contact BDO via email for list of requirements for transfer of shares.
My shares are under a trusteeship arrangement, and my child has now reached legal age. How do I transfer these shares solely to my child’s name?
The transfer would depend on the terms of the agreement.

What taxes are applicable in the Philippines for purchasing, owning, and disposing of shares?
The taxes applicable provided all supporting documents are valid and eligible, are as follows:
- 10% - Individual Filipino Resident
- 25% - Foreign Individual
- 25% - Local Corporation
- 25% - Foreign Corporation
